Terms and Conditions

1. General Information
These Terms and Conditions ("Terms") govern the access and use of the Contera platform ("Platform", "Service"), operated by S.C. NORTEC BLANC S.R.L., with registered office at 257 BIS, Ciofrângeni village, Argeș county, Romania, registered at the Trade Register under no. J03/2526/2019, Tax ID (CUI) RO41773828 ("Contera", "we", "us"). Contact: contact@contera.ro.
The Service is offered in accordance with applicable Romanian legislation, including Law 365/2002 on electronic commerce, Emergency Ordinance 34/2014 on consumer rights in contracts with professionals, and Law 363/2007 on unfair commercial practices.
By creating an account or using the Platform, you confirm that you have read, understood and agree to these Terms. If you do not agree with any of the provisions, please do not use the Platform.
2. Service Description
Contera is a SaaS (Software as a Service) platform offering:
- AI chatbot for querying financial and accounting data
- Company verification from the ANAF (Romanian Tax Authority) database
- Business partner risk scoring
- Integration with the ANAF e-Invoice (e-Factura) system
- Auto-generated financial dashboards and reports
- Data import from SAGA, Ciel, WinMentor, SmartBill and Oblio
- Bank account connection via Open Banking (PSD2) for real-time balance and transaction viewing
- AI assistant (Max) accessible via WhatsApp for financial queries, notifications and account verification
3. Account Creation
To use the Platform, you must create an account by providing accurate and complete information, including the company Tax ID (CUI). You are responsible for maintaining the confidentiality of your account credentials.
Contera reserves the right to suspend or close accounts that violate these Terms or are used fraudulently.
4. Trial Period and Subscriptions
Contera offers a 14-day free trial. No credit card is required for activation. At the end of the trial period, the account is automatically deactivated if a paid plan is not selected.
Subscription plans (Solo, Starter, Business) are available with monthly or annual billing. Prices are displayed in RON and include VAT where applicable. We reserve the right to modify prices with 30 days' prior notice.
Payment processor. Payments are processed by a PCI DSS-certified third-party payment processor. Contera does not store your card data — it is tokenised and handled directly by the payment processor.
You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partially used periods, except where mandatorily required by law.
Consumer right of withdrawal (EO 34/2014). If you purchase the Service as a consumer (a natural person acting outside their professional activity), you have the right to withdraw from the contract within 14 days of its conclusion, without giving any reason. By accepting these Terms and effectively starting to use the Service before the 14-day period expires, you expressly agree that the performance of the contract begins immediately and acknowledge that you will lose the right of withdrawal once the Service has been fully performed (Art. 16(m) of EO 34/2014).
5. User Rights and Obligations
The user agrees to:
- Use the Platform in compliance with applicable Romanian legislation
- Provide accurate and complete data
- Not attempt unauthorized access to Contera systems
- Not share account credentials with unauthorized third parties
- Not use the Platform for illegal or fraudulent activities
6. Open Banking (PSD2)
Contera offers the ability to connect bank accounts through the Open Banking service, in accordance with the European PSD2 Directive (Payment Services Directive 2). Bank data access is provided through a licensed Account Information Service Provider (AISP) established in the European Union. The provider's identity is shown in the bank connection flow.
By connecting a bank account, the user grants explicit consent for accessing the following account information:
- Current bank account balances
- Transaction history (credits and debits)
- Account identification details (IBAN, account name, currency)
Important: Contera does not have access to the user's banking credentials (username, password, PIN). Authentication is performed directly on the bank's platform, and Contera cannot initiate payments or transfer funds from connected accounts.
The duration of consent for accessing bank data is set by PSD2 regulations and by the AISP provider. On expiry, re-authorization is required via your bank's own authentication flow. The user may revoke consent at any time by disconnecting the bank from the Platform.
Bank data is used exclusively to display balances and transactions within the Platform and is not shared with third parties, except for the technical AISP provider required to establish the connection.
7. WhatsApp Communication
Contera offers communication with our AI assistant (Max) via the WhatsApp Business Platform, operated by Meta Platforms, Inc. By connecting your WhatsApp number to your Contera account, you agree that:
- You will receive verification codes, financial notifications and AI assistant responses via WhatsApp
- Your WhatsApp interactions are also subject to WhatsApp's Terms of Service
- You may disable WhatsApp for any of your companies from Settings → WhatsApp. To completely remove your phone number from the account, contact us at contact@contera.ro.
Important: Max provides informational responses only and does not constitute tax, legal or accounting advice. Contera does not request sensitive data (passwords, PINs, bank credentials) via WhatsApp. Never share such information in a WhatsApp conversation.
8. Intellectual Property
The Contera Platform, including source code, design, logos, texts and AI algorithms, are the exclusive property of S.C. NORTEC BLANC S.R.L. and are protected by copyright and intellectual property legislation. The user receives a limited, non-exclusive and non-transferable license to use the Platform during the subscription period.
9. User Data
Financial and accounting data uploaded by the user remain the exclusive property of the user. Contera processes this data exclusively for the purpose of providing the Service, in accordance with the Privacy Policy and GDPR.
Upon a user request (Article 17 GDPR), personal data is erased within 30 days, with the exception of invoices and accounting documents which must be retained for 10 years under Article 58 of the Romanian Fiscal Code. Requests can be made from Settings → Profile or by email to contact@contera.ro. For a copy of your data (right to portability, Article 20 GDPR), send a request to contact@contera.ro; we will provide your data in a structured format (JSON/CSV) within a maximum of 30 days.
10. Limitation of Liability
Contera provides the Platform "as is". We do not guarantee that the Service will be uninterrupted, error-free or completely secure, although we make every effort to ensure this.
Use of Max (AI assistant). Contera does not replace professional accounting, tax or legal advisory services. Responses generated by Max and other AI features are informational and may contain errors or inaccuracies. They are not guaranteed to be complete, up to date or suitable for your specific situation. The user remains responsible for financial, tax or contractual decisions taken and for verifying information with a qualified professional where appropriate.
Liability cap. To the maximum extent permitted by law, Contera's total liability to the user for any claim arising out of or relating to the Service is limited to the amounts actually paid by the user for the Service in the 12 months preceding the event giving rise to the liability.
Exceptions. Nothing in these Terms limits or excludes Contera's liability for: (a) wilful misconduct or gross negligence; (b) injury to life or physical integrity; (c) mandatory consumer rights under EO 34/2014 and other mandatory provisions of law; (d) any other situations where the limitation of liability is prohibited by law.
11. Service Availability (SLA)
Contera commits to a minimum Platform availability of 99.5% on a monthly basis, excluding scheduled maintenance periods. Scheduled maintenance will be communicated at least 48 hours in advance.
12. Modification of Terms
We reserve the right to modify these Terms. Any significant changes will be communicated via email and/or in-Platform notification at least 30 days before taking effect. Continued use of the Platform after this period constitutes acceptance of the new Terms.
13. Governing Law and Jurisdiction
These Terms are governed by the laws of Romania. Any dispute shall be resolved amicably. Otherwise, jurisdiction falls to the courts at Contera's registered office, except where mandatory law provides otherwise (e.g. a consumer's right to sue at their place of domicile).
Alternative dispute resolution (ANPC & ODR). Consumers may contact the Romanian National Authority for Consumer Protection (ANPC) for alternative dispute resolution at anpc.ro/ce-este-sal. They may also access the European Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
